The following version of the ShopOnB2B Terms and Conditions of Sale is dated December 12, 2023.
Introduction
ShopOnB2B (hereinafter referred to as ‘’SOB2B’’) is a technical hosting platform for a marketplace (hereinafter referred to as ‘’Marketplace’’) where Italian manufacturers (hereinafter referred to as ‘’Sellers’’) can offer a collection of products for sale exclusively to professional shops in the fashion industry (hereinafter referred to as ‘’Buyers’’).
The Sellers are listing products for sale (fashion goods, textiles, leather goods, accessories, etc.) at fixed prices on the website (hereinafter referred to as ‘’Products’’). The Marketplace is accessible to Buyers on the website https://www.shoponb2b.com (hereinafter the ‘’Website’’).
SOB2B serves as a facilitator of transactions on the website but is neither the Buyer nor the Seller of the Products. SOB2B serves exclusively as a supplier of technical hosting services and as a publisher of Sellers’ offers targeting the Buyers’ customer base established by SOB2B.
Therefore, when a Buyer purchases from a seller on the Marketplace, a sales contract is concluded between the Buyer and the Seller, pursuant to the following General Terms and Conditions of Sale (‘’SOB2B GTCS’’) agreed upon by the Buyers beforehand and by which the Sellers have agreed to abide, which are attached hereto.
Use of the Marketplace is expressly contingent upon acceptance of the entire SOB2B GTCS, excluding all other terms and conditions.
Definitions
Buyer: This term refers to the Co-Contracting Party of SOB2B engaging in a professional capacity. The Buyer is required to validate its business presence and/or professional status by providing its CVR/VAT number.
Additionally, the Buyer must be a resident in a Member State of the European Union or a State affiliated with the European Economic Area. It is essential that the Buyer operates within the scope of its primary and consistent professional pursuits, duly declared to the tax and social security authorities. These specified conditions must be maintained throughout the entire duration of the contractual relationship with SOB2B.
Paymentmethod: Stripe or direct bank transfer
Website: the merchant Website featuring the Marketplace and accessible from https://www.shoponb2b.com
Sellers: this term refers to any Italian fashion manufacturer dedicated to selling its Products to professional Buyers in the fashion industry (B2B) and who meet the requirements for Sellers as set forth in the Marketplace Terms of use.
Purpose
The following SOB2B General Terms and Conditions of Sale set forth the agreement between SOB2B and the Buyer regarding the terms and conditions for the provision and use of the Website and the Marketplace, from the moment an order is placed through payment and delivery to after-sales service.
The SOB2B GTCS, excluding any other documentation, serves as the exclusive terms and conditions of sale applicable between the Buyer and the Seller for any orders made through the Marketplace.
Following the sale of Products, a contract of sale is established solely between the Buyer and the Seller. SOB2B is not a party to this contract and bears no liability in connection with it. SOB2B does not act as a mandatary or agent on behalf of the Sellers.
Registration and access to the marketplace
Registration to the Marketplace is free.
The Buyer will have to declare the following information during the registration process:
- Full Name
- E-mail address
- Password
- Name, address and company tax identification number (VAT number)
The Buyer shall provide SOB2B with accurate, comprehensive and uo-to-date registration information. The Buyer is responsible for keeping its password private.
Any and all logins to the Marketplace made using a Buyer’s login and password are deemed to have been made by the Buyer.
The Buyer shall at once update the information provided at the time of registration in the Marketplace. The Buyer is solely responsible for any direct or indirect damage incurred should this information not be updated.
- Pricing and Payment
All prices on the Marketplace are stated in euros.
SOB2B relies on xx for electronic payment services made out in euros.
The Buyer shall pay in euros using any of the following methods of payment:
- By credit card: Visa
- By bank transfer

- Claims and non-conformances
The Parties mutually agree that the Seller bears exclusive responsibility for late delivery, partial delivery of Products, non-compliance, or damage to Products sold to the Buyer. However, an exception is made in cases where the Seller can establish that said late delivery or non-compliance of the ordered Products was a result of SOB2B’s negligence.
The Seller is obligated to adhere to legal and regulatory provisions in case of Product non-conformity. Failure of the Buyer to express reservations does not preclude the Buyer from pursuing replacement, repair, or reimbursement from the Seller. In an alternative scenario, SOB2B may withhold or deduct amounts owed to the Seller from another sale.
The Seller must promptly address the Buyer’s claims to best satisfy the Buyer within the confines of applicable terms and conditions.
The Seller shall attempt to amicably resolve all claims made by the Buyer before SOB2B becomes involved.
All claims made by the Buyer within seven days of receiving the Products will be addressed by the Seller through the Marketplace. SOB2B will cease to act as an intermediary once this seven-day period has passed.
Should the Seller allow the Buyer to return a damaged, non-conforming or delayed Product, the return shall be made to the address provided by the Seller.
After confirmation by the Seller that the returned Product is damaged or non-conforming, the Seller shall either repair or exchange the Product, at the Buyer’s request. In the event that the Seller is unable to exchange or repair the Product, the Seller may request SOB2B to refund the Buyer’s payment (price of the Products). Should the Seller request to refund the Buyer, SOB2B will not refund the amount of the canceled sale to the Seller.
- Ordering Process
The Buyer shall place its order on the Marketplace in accordance with the Marketplace’s intended and specified guidelines: the Marketplace is available 24 hours a day, seven days a week, at all times, with the exception of voluntary or involuntary interruptions, in particular for maintenance purposes or in the event of force majeure.
The order will be definitively registered upon the second and last validation of the summary screen of the payment information. With this last click, the order is deemed irrevocable.
An email will be sent as soon as the order is registered. This email confirms that the Buyer’s order has been acknowledged by SOB2B and the relevant Seller(s) and not that the Product ordered is available.
In some instances, including but not limited to an incorrect address or other problem with the Buyer’s account, SOB2B may place a hold on the Buyer’s order until the problem is resolved.

- Return Policy
When a Buyers order have been received an order confirmed E-mail the order is deemed irrevocable.
All sales are considered final, and returns are accepted solely at the discretion of SOB2B.
There is no right of return for products purchased throug the SOB2B platform.
- Changes in General Terms and Conditions of Sale
The SOB2B GTCS are applicable to the Buyer.
The SOB2B GTCS are subject to modifications at any time.
- Newsletter
Unless the Buyer explicitly expresses a contrary preference, they will automatically receive the Website’s Newsletter to stay informed about PFS’ offers, events, and new Products.
The Buyer may at any time choose to edit the information they wish to receive or mation they wish to receive or unsubscribe from the newsletter at any time. This can be done by clicking on the provided link within each newsletter or marketing message.
- Personal Data Protection
SOB2B collect and processes personal data from Buyer’ using the Marketplace Website.
The data is primarily processed to fulfill contractual obligations, facilitating the necessary operations related to order processing. SOB2B conducts newsletter mailings and commercial prospecting based on the Buyer’s consent, which may be revoked at any time.
Buyers have the right to access, amend, delete, transfer, limit, or contest their personal data processing. To exercise these rights, they can contact SOB2B at contact@shoponb2b.com.
In turn, Sellers collect and process the same personal data as SOB2B from Buyers in order to fulfill and dispatch orders through the Marketplace. Sellers must comply with the Privacy Policy as set forth by SOB2B.
